1. Acceptance
By visiting our websites, creating an account, making a purchase, downloading source code, cloning a repository, installing a registry component, or using any customer service, you agree to these Terms.
Creating an account or making a purchase also requires you to accept our Privacy Policy and to consent to our processing of your personal data for the purpose of creating and operating your account, as described in Section 3 (Accounts and Security) and in the Privacy Policy. Because a purchase results in the creation of an account where you do not already have one (see Section 3), making a purchase is subject to these same conditions.
If you use the services for a company, client, or other organization, you confirm that you are authorized to bind that organization. In that case, "you" includes that organization.
If you do not agree to these Terms or our Privacy Policy, do not use the services, create an account, or purchase the products.
2. Products
We sell digital source-code products for software developers:
- Inertia Start: the complete source code of the Laravel, Inertia.js, and Vue.js starter kit, including the Inertia Table component.
- Inertia Table: the standalone Vue.js component when purchased separately.
The products are digital developer tools, not hosted software, managed infrastructure, legal/compliance advice, security certification, or custom implementation services. You are responsible for installing, configuring, deploying, auditing, and maintaining any application you build with the products.
The public demo and documentation are provided to help you evaluate and use the products. Demo data and demo functionality may be reset, changed, disabled, or removed at any time.
3. Accounts and Security
You must provide accurate account, billing, and contact information. You must be at least 18 years old or have legal capacity to enter into these Terms.
You are responsible for all activity under your account, API keys, magic links, passwords, passkeys, two-factor credentials, repository credentials, and registry access tokens. Keep them confidential and revoke credentials you no longer use.
Creating an account requires you to accept these Terms and our Privacy Policy and to consent to our processing of your personal data for the purpose of creating and operating your account. This processing is carried out solely for the purposes of creating and operating your user account.
Guest checkout and automatic account creation. You can complete a purchase as a guest without first creating an account. When you check out as a guest and provide an email address that is not already associated with an existing account with us, we automatically create an account for you using the email address you provide to the payment provider (Stripe or Paddle) at checkout. We may send a secure link to that email address so you can access the purchased product and manage your account.
Because a guest purchase results in the creation of an account, making a purchase is subject to the same conditions as creating an account directly. By making a purchase, you accept these Terms and our Privacy Policy and consent to the processing of your personal data for the purpose of creating and operating your account, on the same basis described above.
You must notify us promptly at contact@inertiastart.com if you believe your account or credentials have been compromised.
4. License Grant
After we receive successful payment, we grant you a limited, non-exclusive, non-transferable license to use the purchased product source code.
For Inertia Start and Inertia Table, this license allows you to:
- use the downloaded source code in unlimited personal, internal, commercial, and client projects;
- modify the source code for those projects;
- deploy, sell, or otherwise provide applications that you build using the source code; and
- allow your employees and contractors to use the source code on your behalf, provided they follow these Terms and keep the source code confidential.
Your right to keep using the version of the source code that you downloaded during an active access period is perpetual, unless these Terms are terminated because of your breach.
5. License Restrictions
You must not:
- share, publish, leak, resell, sublicense, rent, or distribute the products as source code;
- make the private repositories, registry files, or access tokens available to anyone outside your organization or project team;
- use the products to create or sell a competing starter kit, template, component library, registry, source-code product, or substantially similar developer tool;
- remove proprietary notices from product files except where necessary for your own deployed application;
- bypass, disable, or interfere with licensing, repository, registry, payment, or access-control systems;
- use the services for unlawful, infringing, abusive, or security-harmful activity; or
- overload, scrape, probe, or attack our websites, repositories, registry endpoints, or infrastructure.
Open-source packages included in or used by the products remain governed by their own licenses. These Terms do not limit rights granted to you directly by those open-source licenses.
6. Access Period, Updates, and Support
Unless the product page or checkout states otherwise, each purchase includes 12 months of access to the relevant private repository, registry endpoint, product downloads, product updates, and core product support.
When the access period ends, your repository and registry access expires and you will no longer be able to download the source code, new updates, or future releases. You may continue using the version you downloaded during your active access period, but you must renew if you want new updates, future releases, or renewed access.
Renewal is not automatic. The products are not sold on a subscription basis, and we do not automatically charge you or renew your access when an access period ends. If you want to keep receiving updates and access after your access period expires, you may manually renew your license at a reduced renewal price. This renewal price is a fraction of the then-current base price (typically between 25% and 40%, depending on the product and license) and is otherwise subject to Section 7 (Payments, Taxes, and Billing Providers).
Support covers reasonable help with product defects and core product issues. Support does not include custom feature development, application-specific implementation work, deployment work, code review of your application, security audits, or guaranteed response times.
7. Payments, Taxes, and Billing Providers
Payments are processed by third-party billing providers, including Stripe and Paddle. We do not intentionally collect or store full payment card numbers.
Prices, discounts, currencies, tax calculations, and available payment methods may vary by checkout session, billing provider, country, and time. You are responsible for all applicable taxes unless they are collected by the billing provider at checkout.
Payment providers may require you to accept or be subject to their own checkout, payment, privacy, data-processing, dispute, and fraud-prevention terms. Those provider terms apply to the payment services they operate and do not replace these Terms for your purchase, license, account, or product access with us.
Stripe publishes its privacy policy here: https://stripe.com/privacy ; and its data-processing terms here: https://stripe.com/legal/dpa
Paddle publishes its buyer terms here: https://www.paddle.com/legal/buyer-terms ; and its privacy notice here: https://www.paddle.com/legal/privacy
8. Refunds and Withdrawal Rights
Our products are digital products that give you direct, immediate access to the full source code of each product as soon as your purchase is completed. Because delivery of the digital content begins immediately, there is no right of withdrawal once your purchase is completed, and all sales are final.
By completing a purchase and obtaining immediate access to the source code, you expressly request that performance of the contract begin immediately, and you acknowledge that you thereby lose any right of withdrawal or cooling-off period that would otherwise apply to digital content under applicable consumer law, including under the laws of Spain and the European Union.
Nothing in these Terms limits mandatory consumer rights that cannot legally be waived. If you believe a duplicate purchase, billing error, or technical access issue occurred, contact us at contact@inertiastart.com and we will review it.
9. Product Changes
We may improve, modify, rename, restructure, deprecate, or discontinue features, documentation, repositories, registry endpoints, support channels, or product delivery methods. We will not intentionally remove access to a product you paid for during an active access period without a reasonable replacement, unless required for security, legal, operational, or abuse-prevention reasons.
10. Intellectual Property
We and our licensors retain all rights in the products, websites, documentation, branding, design, demos, repository content, registry content, and related materials, except for the limited license expressly granted to you.
You own your applications, your business logic, and original code you create. We do not claim ownership of applications you build with the products.
If you send feedback, suggestions, bug reports, or feature ideas, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
11. Confidentiality
Private repository content, registry files, access tokens, unpublished roadmap information, and non-public product materials are confidential. You must use reasonable care to protect them and must not disclose them except to employees or contractors who need access for your permitted use.
12. Suspension and Termination
We may suspend or terminate access to accounts, repositories, registry endpoints, support, downloads, or services if we reasonably believe that:
- you breached these Terms;
- your payment was declined, refunded, reversed, charged back, or fraudulent;
- your account or token is being used in a way that risks harm to us, users, infrastructure, or third parties;
- suspension is required by law, a billing provider, or a platform provider; or
- continued access would create a security, operational, or legal risk.
After termination for breach, you must stop using and delete non-public product materials unless mandatory law gives you a non-waivable right to retain them.
13. Third-Party Services
The products and services may integrate with third-party services such as Laravel, Inertia.js, Vue.js, Stripe, Paddle, Git, shadcn-vue, Umami, hosting providers, email providers, and other software or infrastructure. Third-party services are governed by their own terms and policies. We are not responsible for third-party services that we do not control.
14. Disclaimers
The products and services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and error-free operation.
We do not guarantee that the products will meet your requirements, that the code will be free of bugs or vulnerabilities, that every third-party dependency will remain supported, or that using the products will make your application compliant with any law or standard.
You are responsible for testing, reviewing, securing, licensing, and legally validating the applications you build.
15. Limitation of Liability
To the maximum extent permitted by law, Inertia Start will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, security incidents in your application, procurement of substitute services, or loss of goodwill.
To the maximum extent permitted by law, our total liability for all claims relating to the products or services is limited to the amount you paid to us for the product or service giving rise to the claim during the 12 months before the event giving rise to liability.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
16. Indemnity
If you use the products or services on behalf of a business, you will indemnify and hold Inertia Start harmless from claims, damages, liabilities, costs, and expenses arising from your applications, your misuse of the products, your breach of these Terms, or your violation of law or third-party rights.
17. Governing Law and Disputes
These Terms are governed by the laws of Spain, except where mandatory consumer-protection or data-protection laws require a different result.
Before starting a formal dispute, you agree to contact us at contact@inertiastart.com and give both sides a reasonable opportunity to resolve the issue informally. If a dispute cannot be resolved informally, it will be handled by the courts with jurisdiction under applicable law.
18. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date shows when the current version took effect. Material changes will apply prospectively unless a change is required immediately for legal, security, or operational reasons.
Your continued use of the services after updated Terms take effect means you accept the updated Terms.
